Terms & Conditions of Sale

These terms and conditions govern the supply of goods by FIREAGENT LTD to its trade customers.

1. Definitions

“Company”, “we”, “us” means FIREAGENT LTD, trading as FireAgent. “Customer”, “you” means the trade business buyer placing the order. “Goods” means the products we agree to supply.

2. Application of these terms

These terms apply to all sales of Goods by the Company and prevail over any other terms. We sell on a trade-only, business-to-business basis. Our Goods and services are not offered to consumers, and consumer protection law (including the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and consumer cancellation rights) does not apply to sales under these terms.

3. Trade accounts and eligibility

Ordering is intended for businesses in the fire-detection and allied trades. We may require evidence of trade status and may decline or suspend accounts at our discretion. The Goods are professional-grade and are not intended for consumers; if an order is placed by or on behalf of a consumer, we may cancel it and refund any payment received.

4. Quotations and validity

Quotations are invitations to order and are valid for the period stated on the quotation or, if none is stated, for 30 days. Quotations may be withdrawn or revised before we accept your order.

5. Orders and acceptance

Each order is an offer by you to buy Goods subject to these terms. A binding contract is formed only when we accept your order, whether by written acceptance or by dispatching the Goods.

6. Changes and cancellation

You may request a change to, or cancellation of, an order before dispatch and we will use reasonable efforts to accommodate it; once an order has been accepted we are not obliged to agree. Special-order, non-stocked or made-to-order Goods cannot be cancelled or returned once your order has been accepted, except where the Goods are faulty. Where we agree to a cancellation, we may deduct reasonable costs already incurred (including parts sourced, carriage and administration).

7. Pricing

Prices are trade prices and are quoted exclusive of VAT, which is added at the prevailing rate at checkout or on invoice. Quotations are subject to errors and omissions excepted (E&OE) and may be corrected or revised before we accept your order. Once we have accepted your order, the price confirmed in your order confirmation is binding, save for the correction of a manifest error of which we notify you before dispatch.

8. Payment

Payment is due by proforma (in advance) or, for approved account customers, in accordance with the agreed credit terms. Time for payment is of the essence. We may charge interest and recover reasonable costs on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998.

9. Delivery

Delivery is made in accordance with our Delivery information. Delivery dates are estimates and are not guaranteed.

10. Title and risk

Risk in the Goods passes to you on delivery. Title to the Goods is retained by the Company until we have received payment in full and in cleared funds for those Goods and any other sums owed to us. Title is retained even where the Goods are incorporated into or affixed to other equipment or a larger installation.

11. Returns

Returns are handled in accordance with our Returns & Refunds policy.

12. Warranties and statutory rights

Goods are supplied to the relevant manufacturer's specification. The benefit of any manufacturer warranty is passed to the Customer so far as the Company is able to do so, subject to the manufacturer's warranty terms and eligibility (including proof of purchase). Your statutory rights as a business buyer — including that the Goods will be of satisfactory quality and as described, and, where you make a particular purpose known to us and rely on our skill or judgement, fit for that purpose — are not excluded or limited by these terms except as permitted by law. The Company supplies individual products and does not design fire-detection systems or advise on the suitability of Goods for a specific installation (see section 13); to that extent the Customer does not rely on the Company's skill or judgement.

13. Installation, suitability and intended use

The Goods are professional fire-detection equipment intended for selection, installation, commissioning and maintenance by a competent fire-alarm professional, in accordance with the applicable standards, codes of practice, legislation and regulations in force in the territory where the Goods are installed (for example, in the United Kingdom, BS 5839 and BS 8629). Responsibility for the design, suitability and regulatory compliance of any specific installation remains with the Customer. The Company supplies equipment to the relevant manufacturer's specification and does not provide system design or certify compliance for individual installations. Where you resell the Goods, you are responsible for ensuring your customers and their installers are competent and comply with the applicable standards.

14. Product information and specifications

Product information, specifications, images, datasheets and other technical data published on our website or in a quotation are provided in good faith and are compiled from the relevant manufacturer's documentation. Manufacturers may change specifications, components, firmware or availability at any time without notice, and such information is provided errors and omissions excepted (E&OE). The Customer must verify the Goods and their specification against the manufacturer's current datasheet before ordering, and in particular before selecting, specifying or relying on the Goods for safety-critical fire-detection or life-safety work. Where you identify an apparent inaccuracy, please notify us at shop@fireagent.co.uk so we can review it. This section does not limit any statutory right that the Goods correspond with their description (see section 12).

15. Indemnity

The Customer shall indemnify and keep the Company indemnified against all liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Customer's installation, commissioning, maintenance, resale or use of the Goods; (b) the Customer's breach of these terms; (c) the Customer's breach of any applicable law, standard or regulation; or (d) any negligent act or omission of the Customer or those for whom it is responsible. This section does not apply to the extent the liability arises from the Company's own breach or negligence.

16. Limitation of liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings, however arising. Subject to that same paragraph, our total aggregate liability arising out of or in connection with a contract — whether in contract, tort (including negligence), breach of statutory duty or otherwise — is limited to the price of the Goods supplied under that contract.

17. Force majeure

The Company is not liable for any delay or failure to perform caused by events beyond its reasonable control, including supplier failure, carrier delay, industrial action, fire, flood, or interruptions to utilities or communications. We will notify you of any such event without undue delay; if it continues for more than 30 days, either party may cancel the affected order and we will refund any prepayment for Goods not supplied.

18. Sanctions, anti-bribery and export control

The Customer warrants that neither it nor any person on whose behalf it orders is subject to trade or financial sanctions, and that it will not use, resell or export the Goods in breach of applicable sanctions, anti-bribery or export-control laws. The Company may decline or cancel any order where it reasonably believes such a breach may occur.

19. Intellectual property

All intellectual property in the website, product data, images and related materials remains the property of the Company or its licensors. You may not copy or reuse it except as needed to place orders with us.

20. Data protection

We process personal data in accordance with our Privacy Policy.

21. Complaints and dispute resolution

If you have a complaint, please contact us at shop@fireagent.co.uk and we will acknowledge it promptly. The parties shall first seek to resolve any dispute through good-faith discussion within 14 days of written notice. Nothing in this section prevents either party from seeking urgent interim relief from the courts.

22. General

Entire agreement. These terms, together with our order confirmation, form the entire agreement between the parties and supersede any prior arrangement, representation or understanding.

Variation. No variation of these terms is effective unless agreed in writing by an authorised representative of the Company.

No waiver. A failure or delay in enforcing any term is not a waiver of it, and no single or partial exercise of a right prevents its further exercise.

Severance. If any provision is found unlawful or unenforceable, it shall be severed and the remaining provisions continue in full force and effect.

Assignment and subcontracting. You may not assign or subcontract your rights or obligations without our prior written consent. We may subcontract delivery, logistics and fulfilment, and may assign or transfer our rights and obligations.

Third-party rights. A person who is not a party to a contract under these terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

Notices. Notices must be in writing and may be sent by email to the address shown on our website or your order, or by post to our registered office; they take effect on receipt or, if posted, on the second business day after posting.

23. Governing law and jurisdiction

These terms and any contract formed under them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with them.
