1. Who we are
FireAgent operates this website and online store (“FireAgent”, “we”, “us”, “our”).
FireAgent currently operates as a standalone trading brand. A dedicated legal entity (FireAgent FZ LLC) is planned but not yet established. Until formal incorporation is completed, FireAgent contracts with customers and acts as the operator of the Services.

By placing an order on this website, you agree to be bound by these Terms.
2. Trade-only sales
2.1 All sales are business-to-business (B2B) only. By ordering, you confirm that you are acting wholly for business purposes on behalf of a company or organisation and that you have authority to bind that business.
2.2 Consumer legislation (including cancellation or “cooling-off” rights) does not apply.

3.2 By placing an order, you confirm that you have read and agree to these policies. Links are available in the website footer and at checkout.
4. Orders & acceptance
4.1 Your order constitutes an offer to purchase. We accept the order only when we issue an order confirmation or dispatch the goods.
4.2 We may decline or cancel any order at our discretion, including (without limitation) due to stock availability, pricing errors, compliance checks, export restrictions, or fraud prevention. Any payment taken for a cancelled order will be refunded to the original payment method.
5. Prices, VAT & payment
5.1 Prices are shown including UK VAT unless stated otherwise. VAT (where applicable) is itemised on invoices.
5.2 Payment is due at checkout unless otherwise agreed in writing. We may withhold dispatch until cleared funds are received.
5.3 Where credit terms are agreed, late payments may incur interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6. Delivery, risk & inspection
6.1 Delivery is currently available within the United Kingdom only. Delivery dates are estimates.
6.2 Risk in the goods passes to you on delivery to the nominated address.
6.3 You must inspect deliveries immediately on arrival and notify us of shortages or transit damage within 2 working days, supported by photographs and the delivery note.
7. Returns & RMAs — summary
7.1 Trade sales only; no change-of-mind returns.
7.2 Any discretionary return requires prior authorisation (RMA) and must comply with the Refund & Returns Policy. Returns without an RMA will be refused.
7.3 A 25% restocking charge applies to any approved discretionary return of unopened stock items.
7.4 Certain items are non-returnable, including (non-exhaustive): special-order or configured goods; firmware-programmed devices; bespoke or discontinued products; items installed, energised, or commissioned; cable cut to length; or goods not returned in saleable condition.
7.5 The Refund & Returns Policy prevails for all matters relating to RMAs, returns, shortages, DOA, and warranty processing.
8. Warranty — summary
8.1 Unless otherwise stated on the product page, FireAgent provides a 12-month limited warranty from invoice date covering defects in materials and workmanship under normal use by competent persons.
8.2 Our sole remedy is, at our option, to repair, replace, or credit the defective item following inspection and return under an authorised RMA.
8.3 Exclusions include (non-exhaustive): incorrect product selection or system design; improper installation, commissioning, programming or configuration; third-party or software issues; modification; environmental damage; electrical surge or ESD; misuse or neglect; and failure to follow manufacturer documentation and applicable standards.
9. Installation & compliance
9.1 You are responsible for correct selection, design, installation, commissioning, and maintenance of products by competent persons, and for compliance with all applicable laws, standards, and site requirements.
9.2 Unless expressly agreed in writing, FireAgent does not provide design, installation, certification, or on-site services through this website.
10. Retention of title
10.1 Title to goods remains with FireAgent until payment is received in full for those goods and any other sums due.
10.2 Until title passes, you must store goods safely, keep them insured, and not create any charge or security over them. We may recover goods if payment is overdue.
11. Liability
11.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
11.2 Subject to clause 11.1, we shall not be liable for indirect or consequential loss, including loss of profit, business interruption, downtime, labour, travel, or re-attendance costs.
11.3 Our total aggregate liability arising from any order is limited to the price paid for the goods under that order.
12. Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including supply-chain disruption, carrier delays, industrial action, power or network failure, extreme weather, or government action.
13. Intellectual property
All product literature, datasheets, images, and website content remain the property of their respective owners and may not be copied or used without permission.
14. Data protection
Personal information is processed in accordance with our Privacy Policy.

15. Export controls & sanctions
You must not resell, export, or use goods in breach of applicable export controls, sanctions, or safety regulations.
16. Changes to these Terms
We may update these Terms from time to time. The version in force at the time you place an order applies to that order.
17. Policy hierarchy
If there is any inconsistency between these Terms and the Refund & Returns Policy, the Refund & Returns Policy prevails for returns, RMAs, and warranty matters. For all other matters, these Terms prevail.
18. Governing law & jurisdiction
These Terms and any dispute or claim (including non-contractual disputes) are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
